1. Scope
These Terms and Conditions govern the use of the Spamexx service, operated by sareba Computer & Software e.U. (the "Provider"). By registering and using the service, the customer accepts these Terms. Deviating terms of the customer apply only with the Provider's express consent.
2. Services
Spamexx is a multi-tenant email security gateway. The Provider in particular offers:
- Spam and virus filtering of inbound email for the domains managed by the customer, and its delivery, tagging or quarantine according to the filtering results and the customer's settings.
- Optional backup/failover spooling of email when the destination server is unreachable.
- Optional an HTTP interface (API) for programmatic checks.
The actual feature set depends on the booked plan. The Provider may further develop the service as long as the core of the agreed performance is preserved.
3. Registration and account
An account is required. The customer keeps the access credentials confidential and is responsible for all activity under the account. Information must be truthful and kept up to date.
4. Customer obligations
The customer ensures that it is entitled to have the email passing through the gateway processed (in particular as controller for the affected domains). Prohibited are, in particular, sharing credentials or API keys with third parties, creating multiple accounts to circumvent quotas, and any unlawful or abusive use. In case of serious or repeated violations the Provider may suspend access.
5. Prices and payment
Prices follow the chosen plan and are net plus statutory VAT. Billing is in advance, monthly or yearly (depending on the chosen interval), via the offered payment methods (e.g. credit card through the payment provider Stripe, or bank transfer). The contract may be cancelled at any time to the end of the current billing period; fees already paid are not refunded on a pro-rata basis.
6. Availability
The Provider strives for high availability but does not owe uninterrupted availability. Maintenance, third-party disruptions (e.g. network or data-centre operators) and force majeure may cause limitations.
7. Warranty
Spam and virus filtering is performed according to the state of the art. Complete protection against spam, malware or unwanted content is technically impossible; the Provider therefore gives no guarantee of complete detection or prevention. Likewise, legitimate email may in individual cases be sorted out incorrectly. The customer is responsible for checking the quarantine regularly.
8. Liability
The Provider is liable without limitation for intent and gross negligence and under mandatory statutory provisions. For slight negligence the Provider is liable only for the breach of essential contractual obligations and limited to the foreseeable damage typical for the contract. Liability for indirect damage and lost profit is excluded to the extent permitted by law. Total liability is, where permissible, limited to the fees paid in the last twelve months.
9. Data protection
The Provider processes personal data in accordance with the Privacy Policy. Where the Provider processes email data on behalf of the customer, it acts as a processor within the meaning of Art. 28 GDPR; a data processing agreement is concluded on request.
10. Final provisions
Austrian law applies, excluding the UN Convention on Contracts for the International Sale of Goods. Where the customer is an entrepreneur, the place of jurisdiction is the court with subject-matter competence in Korneuburg. Should individual provisions be invalid, the validity of the remaining provisions is unaffected. Changes to these Terms will be communicated to the customer in a suitable manner.
